Meta filed a securities registration with the US Securities and Exchange Commission on October 26. Financial News reports a $35 billion offering launched that day, part of a planned $95 billion equity raise for AI infrastructure.
For existing shareholders, the $95 billion headline overstates the immediate dilution exposure. Only the $35bn tranche is in motion, per Financial News. Supplement terms will determine ownership losses; the remaining programme waits on Class C, which does not trade yet.

- $35 billion, per Financial News
- Fundraising ceiling
- Up to $95 billion

Financing components
Meta's SEC filing establishes a shelf registration, a framework for selling securities through later transactions. It covers common stock, preferred stock, depositary shares, warrants, purchase contracts and units.
The base prospectus is the general document filed now. The filing requires prospectus supplements, deal-specific documents supplying each sale's terms. The general document alone cannot be used to offer and sell the securities.
The Decoder and Financial News describe three financing components, including Class A, Meta's publicly traded common shares. Depositary shares are securities representing an interest in preferred stock. Financial News dates the initial $35 billion offering's launch to October 26; settlement and receipt of proceeds have not been confirmed.
| Component | Amount | Status | Source |
|---|---|---|---|
| Class A common stock | $22.5 billion | Part of initial offering | Both outlets |
| Depositary/preferred shares | $12.5 billion | Preferred converts August 2029 unless earlier | The Decoder |
| Future market sales | $60 billion | Conditional on Class C trading, not expected before Q1 2027 | Both outlets |
The Decoder reports that the underlying preferred shares will automatically convert into common stock in August 2029 unless converted earlier. That means new common shares now, and more upon conversion.
Final prices, share counts and preferred conversion terms remain unavailable, preventing an exact calculation of the ownership existing investors would give up.
